Terms of Service

1. Overview

These Terms of Service (the “Terms”) govern your access to and use of Instal’s websites, offers, and performance marketing services (collectively, the “Services”). “Instal”, “we”, “our”, and “us” refer to the operating entity providing the Services. By accessing or using the Services, you agree to these Terms.

2. Parties and Roles

Instal operates an affiliate/network marketplace that connects advertisers with publishers/partners. Advertisers are responsible for their offers, payouts, and conversion criteria. Publishers are responsible for their traffic sources and compliance with all policies and laws.

3. Account; KYC; Compliance

• All users must provide accurate registration data and maintain security of credentials.
• We may require identity, business, tax, and banking verification (KYC/KYB) at any time.
• You must comply with all applicable laws (including advertising, privacy, telemarketing, and sanctions laws).

4. Tracking and Measurement

You agree that conversions, calls, and payouts are determined by Instal’s tracking systems and logs (including third‑party platforms such as Everflow for attribution and Ringba for call tracking). Instal’s numbers are final for billing and payment unless a manifest error is demonstrated.

5. Publisher Policies

• No fraud, bots, invalid traffic, incentivized traffic (unless expressly allowed), misrepresentation, brand bidding, cloaking, spam, or deceptive practices.
• No use of call centers, warm/cold transfers, or scheduled callbacks for Pay‑Per‑Call unless expressly approved. Inbound‑only calls by default.
• No promotion in restricted channels (e.g., adult, illegal content) or geographies prohibited by the offer.
• All creative and copy must be accurate, compliant, and approved where required.
• We may withhold, reverse, or claw back payouts for invalid traffic, chargebacks, fraud, consumer complaints, non‑compliance, or advertiser non‑payment.

6. Advertiser Policies

• Advertisers must provide accurate offer terms, allowed traffic types, geographic/targeting rules, and conversion criteria.
• You authorize Instal to run compliance and fraud mitigation measures across traffic and calls (including real‑time AI analysis).
• You must review and dispute conversions within the dispute window specified in the IO or offer terms; otherwise, conversions are deemed accepted.
• You are liable for all approved conversions and usage; Instal may pause campaigns for late invoices or risk concerns.

7. Payments

7.1 Publishers

• Default payment terms are net‑30 from the later of (a) the end of the billing period, and (b) the date we actually receive cleared funds from the applicable advertiser(s).
• “Pay‑when‑paid”: we do not pay publishers until we are paid by advertisers. Instal may offset or withhold amounts for chargebacks, reversals, fraud investigations, or disputes.
• Minimum payout thresholds, currency, and fees are specified in your account/IO; bank, wire, FX, and compliance fees are the recipient’s responsibility.
• We may require updated tax forms and identity verification prior to payment.

7.2 Advertisers

• Invoices are due per IO (typically prepay or net‑7/15). Late amounts may accrue interest at the maximum rate permitted by law.
• Instal may suspend campaigns and/or offset publisher payouts against overdue advertiser balances.
• Security deposits or credit limits may be required based on risk.

8. Fraud & Invalid Activity

We use layered detection (device fingerprinting, behavioral analysis, threat intelligence, and human review). If Instal reasonably suspects fraud or non‑compliance, we may withhold, reverse, or claw back conversions and payments; disable tracking; pause campaigns; and/or terminate accounts. You must fully cooperate with investigations and provide logs, creatives, and source details on request.

9. Data; Tools; Processors

You authorize our use of third‑party processors to provide the Services, including without limitation: Everflow (attribution), Ringba (call tracking), OpenAI (AI‑assisted analysis and tooling), and other vendors listed in our Privacy Policy. Use of the Services constitutes agreement to those processors’ role in processing your data for our legitimate business interests.

10. Intellectual Property

All network software, data, and brand assets remain the property of Instal or its licensors. You receive a limited, revocable, non‑transferable right to use links, tracking codes, and approved creatives solely to participate in offers.

11. Confidentiality

Offer terms, payouts, targeting, and performance data are confidential. You may not disclose or reuse them outside of participation in the offer.

12. Warranties; Disclaimers

The Services are provided “as is”. To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non‑infringement.

13. Limitation of Liability

To the maximum extent permitted by law, Instal will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or lost profits. Our aggregate liability will not exceed the amounts paid or payable to you by Instal in the three (3) months preceding the claim.

14. Term; Termination

Either party may terminate at any time upon notice. Sections intended to survive (including payments, fraud, confidentiality, IP, limitations, and dispute resolution) will continue after termination.

15. International Use

We operate globally and may transfer data across borders as described in the Privacy Policy. You are responsible for ensuring your activities comply with local laws.

16. Dispute Resolution

Any dispute will be resolved through binding arbitration on an individual basis under the rules of a recognized arbitration body, in English, with the seat in the United States. You waive class actions and jury trials to the fullest extent permitted by law.

17. Changes

We may modify these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
